Policies Don't Protect Data. Architecture Does.
Governance Through Technical Design, Not Documents
Your data processing agreement promises your AI vendor won't use your company's data for training. Your vendor's terms of service reserve the right to modify that commitment quarterly. When the two documents conflict, the terms of service prevail — because that's what the arbitration clause says, buried in the same document most organizations never finish reading. The DPA your legal team signed is not the document currently governing your data.
This distinction matters because most organizations have built their AI governance programs on the wrong foundation.
What Policies Actually Protect
A policy document governs what should happen. Architecture governs what can happen.
These are not the same thing. A policy that prohibits employees from pasting sensitive data into external AI tools is violated the moment an employee opens a browser tab under deadline pressure. A Firewall that blocks unapproved external AI endpoints at the network layer cannot be violated with a browser tab — the connection simply doesn't complete. One approach requires correct behavior from every person, every time. The other makes the behavior technically impossible.
IBM's 2025 Cost of a Data Breach Report documented what happens when organizations confuse documentation with protection: 97% of organizations that experienced AI-related data breaches had zero access controls on their AI usage, despite most having documented AI governance policies. The average breach cost was $4.88 million. Policy acknowledgment rates don't appear in that report, because they had nothing to do with the outcome.
Human behavior at scale is the structural problem. 80% of employees use unapproved AI tools despite clear policy prohibitions — including, according to UpGuard's 2025 research, 90% of the security professionals whose job includes enforcing those policies. Policy-based governance requires a correct human decision at every interaction. At the volume of AI queries flowing through modern organizations, correct decisions every time is not a reasonable expectation.
Vendors Don't Stay Still
Vendor term modification adds another layer to the problem. OpenAI updates its terms of service multiple times per year. Each update takes effect automatically; no notification required, no signature, no opportunity to object before the new terms apply. Organizations that built their governance programs around vendor commitments — DPAs, enterprise agreements, privacy addenda — are building on documents that their vendors can rewrite unilaterally.
Google updated Gemini's terms in 2024 to expand how human reviewer access to user content was described. That change conflicted with data processing agreements that organizations had negotiated before the update. The DPAs remained unchanged. The terms of service, which supersede the DPAs in Google's standard contract hierarchy, had been modified through continued use. Legal teams discovered this during audits — not during the update, because there was no requirement to notify them.
Anthropic's enterprise agreements include unilateral modification clauses for data processing terms. Microsoft's Azure AI addenda reference service documentation that can be updated with minimal notice. These aren't unusual practices — they're standard in cloud service contracts. They mean that the vendor commitments an organization relies on for governance may not reflect the current contractual reality.
Your data processing agreement tells you what a vendor intended when the contract was signed. Their terms of service tell you what they're entitled to do today.
What Architecture Changes
Four technical components form the SIA architecture response — each operating independently of policy compliance.
The Router classifies every AI query before it leaves organizational infrastructure. Classification doesn't depend on the employee remembering the policy, reading the latest update, or deciding that this particular request falls within acceptable parameters. Classification happens at the network layer, automatically, based on sensitivity rules the organization defines. A query containing merger target data routes to a local model. A query about formatting a presentation routes to a cloud endpoint. The employee's judgment isn't in the decision path.
Outbound connections to unapproved AI services are governed by the Firewall. This is the control that eliminates browser-tab workarounds. An employee who opens ChatGPT to handle a task quickly under deadline pressure finds the connection blocked — not because a manager is watching, but because the outbound connection doesn't complete. Policy exceptions, which accumulate in every governance program and gradually hollow it out, cannot exist at the Firewall level. Either the connection is permitted by the architecture or it isn't.
Organizational knowledge stays in the Vault — documents, data, institutional memory — indexed and searchable by AI without ever transmitting that knowledge to external servers. When an employee asks AI to summarize a contract or analyze a dataset, the relevant materials come from the local store, not from a cloud training corpus. The vendor never receives the content.
Every AI interaction gets logged by the Recorder: every AI interaction, every routing decision, every data access event, logged with full context. When a regulator asks what AI systems processed patient data in the last 90 days, the answer is a produced log, not an estimate. When a breach investigator arrives, the trail exists. Policy-based governance programs typically discover what happened through the absence of records. Architecture-based programs answer through the presence of them.
The Legal Dimension
Article 26 of the EU AI Act — which took full enforcement effect in 2026 — places liability for AI deployment on the deploying organization, not the vendor that built the model. When employees use cloud AI that an organization's policy prohibited but its architecture permitted, the organization owns the regulatory exposure. A written policy prohibiting the behavior becomes evidence that the organization understood the risk while failing to prevent it architecturally.
This reverses the traditional logic of documentation as protection. Once an AI governance policy exists, regulators and opposing counsel expect it to be enforced. Evidence that the policy was systematically violated — despite the organization's documented awareness of the risk — is more damaging than no policy at all. The documentation establishes that the organization knew, which makes the failure to prevent it harder to explain.
Architecture converts this dynamic. When technical controls prevent the prohibited behavior, the question shifts from "were people complying?" to "what did the architecture permit?" The second question has a specific, auditable answer. The first rarely does.
Governance That Doesn't Require Compliance
The shift from policy-based to architecture-based AI governance changes the governance conversation in a way most organizations don't anticipate.
Policy governance requires ongoing compliance monitoring: were employees following the rules, how many incidents occurred, what were the training completion rates. Architecture governance produces a different set of questions: what does the architecture permit, what does the Recorder show actually happened, where do the routing rules need adjustment based on observed data flows. These questions have concrete answers that don't depend on employee behavior.
The organizations that survive AI governance audits are not the ones with the most detailed policy libraries. They're the ones that can produce a complete, specific log of what their AI systems actually did. Policies tell auditors what the organization intended. Logs show what happened. Auditors — and regulators — work with what happened.
Two Moves
Organizations that have rebuilt AI governance on architectural foundations typically started with two moves rather than attempting a full overhaul.
The first move is documenting what currently happens rather than what policies say should happen. Where are AI queries actually going? Which vendor integrations are routing data to cloud endpoints? Which employees are using which tools? This audit typically reveals that the gap between documented policy and actual behavior is larger than any governance program has estimated. That gap is the starting point for architectural design, not the conclusion of a compliance review.
Deploying a single architectural control at the point of highest risk is the second move. A Firewall blocking connections to unapproved AI endpoints protects against the employee-browser-tab problem immediately. A Router at the organization's primary AI integration point starts generating the data flows needed to understand what's sensitive and what isn't. Neither move requires replacing existing tools or conducting a multi-month implementation. Both produce immediate, measurable results.
Looking Forward
The organizations building architecture-based AI governance now are separating from those still relying on policy documentation. The separation will be visible when enforcement arrives.
In 2027, AI governance audits will ask: can you show what your AI systems actually did with sensitive data? Organizations whose governance programs produce logs will answer that question. Organizations whose governance programs produce policy acknowledgment records will find they've documented their intent while failing to describe their reality.
Policy-based governance requires human choice at every step. Architecture makes the choice irrelevant.
The organizations that understand this distinction will have it documented in technical controls rather than policy libraries. Regulators prefer the former. So do the clients who are starting to ask.
